Informer Agreement

hereinafter the "Informer"

between Justin Chidubem Anyanwu, Buckower Chaussee 24, 12305 Berlin (the "Intermediary") and you, the person who completes the form above (the "Informer").

1. Subject matter

The Informer passes on contact details of potential customers to the Intermediary. This is done without any prior advice from the Informer (ahead of the Intermediary's own consultation). It is limited exclusively to passing on the contact details of potential customers who have expressly agreed to it, i.e. who have given consent to their personal data being shared.

2. Compensation

For every successful placement of the products offered by the Company through its intermediaries that can be traced back to the contact details passed on by the Informer, the Informer receives the following one-time, success-based compensation: the per mille (‰) rate stated in your contract (for example 10 ‰), plus any other compensation or remarks agreed in writing.

What triggers the compensation is not the placement of the customer, but the customer's conclusion of the insurance contract arranged through the Company. Under Section 92 (4) HGB, the intermediaries' right to commission only arises once the policyholder has paid the premium from which the commission is calculated. Because the intermediaries receive commissions in advance under the commission guidelines known to the Informer, the Informer is also paid in advance. There is no entitlement to follow-up or portfolio commissions, bonuses or any other compensation.

All contracts placed through the Company are rated and settled in per mille (‰). The Company's commission guidelines are attached to the contract, are known to the Informer in detail, and are updated continuously in line with the requirements of the respective cooperation partners. The Informer can request the current version from the Intermediary at any time. The Informer agrees to this rating system, to payment in advance and to any repayment obligations.

The Informer's compensation shares the fate of the contract that came about through the referral. If an insurance contract is terminated early or changed in a way that reduces commission, and the Intermediary is obliged to repay commission to the insurer (product provider), the Informer must, on request, repay the compensation in full or proportionally, in the same ratio as the Intermediary repays it to the product partner. The Intermediary will explain the reasons for any chargebacks and carry out follow-up work as legally required.

The compensation is a gross amount: if it is or becomes subject to VAT, the applicable VAT is included in it.

The company is free to decide whether to contact the customers and seek to place contracts.

3. Real estate commission

In addition to insurance placements, the Informer may refer potential customers for real estate brokerage services offered by the Intermediary. For every real estate transaction (sale or let) brokered by the Intermediary that can be traced back to the contact details passed on by the Informer, the Informer receives a one-time, success-based commission on the net broker fee actually received by the Intermediary, at the rate stated in the form (50%). The commission becomes due once the broker fee has been received and the transaction completed. The chargeback and repayment rules set out in clause 2 apply accordingly. There is no entitlement to follow-up commissions.

4. Informer's tax obligations

The Informer alone is responsible for meeting their tax obligations regarding compensation under this agreement. The parties assume that the compensation is generally subject to VAT, so it is always paid gross, including any VAT.

5. Term and termination

This agreement begins on the date you sign it (the date shown in the form) and is concluded for an indefinite period. Either party may terminate it with 2 months' notice to the end of a quarter. The right of both parties to terminate for good cause remains unaffected.

6. Data protection

The Informer must comply with the applicable data protection rules. In particular, they must keep silent about all operational and business information they learn of through their activity, and protect confidential data, information and documents so that unauthorised third parties cannot view or access them. These duties continue after this agreement ends. The Informer must obtain the potential customer's consent to the sharing of their personal data.

7. Miscellaneous

There are no side agreements. Amendments are only effective in writing and signed by both parties. The place of jurisdiction for all obligations and disputes is Berlin. This agreement is governed exclusively by the law of the Federal Republic of Germany. Gaps are filled by statutory provisions and case-law principles. If one provision is void, the rest of the agreement stays valid, and the void provision is replaced by one that comes closest to the purpose of the contract and the parties' intentions.

Annex: commission guidelines of the Company, available from the Intermediary on request.
